Affiliate Program Terms

These terms govern participation in the Themis Affiliate Program. By applying and being approved, you agree to these terms in full.

1. Program Overview

The Themis Affiliate Program allows approved partners to earn recurring commissions by referring paying subscribers to Themis. You earn a percentage of each monthly invoice for every active subscriber you refer, for up to 12 months per referral.

Commissions are paid monthly, subject to the confirmation and payout conditions described below.

2. Eligibility

To participate you must:

• Submit an application at usethemis.app/affiliate/apply and receive written approval
• Have an active, publicly accessible content presence — social media account, YouTube channel, newsletter, blog, podcast, or similar
• Comply with all applicable laws in your jurisdiction
• Not be a current employee or contractor of Themis

Approval is at Themis's sole discretion. We may decline applications without explanation.

3. Commission Structure

How commission is calculated: Commission is applied to the actual invoice amount collected from the referred subscriber, after any discounts, prorations, or failed payment adjustments. Tax amounts are excluded.

Tier upgrades are assessed weekly. Tiers are permanent — you will not be downgraded if conversions fall below a threshold after promotion.

4. Attribution

Referrals are tracked by a unique referral code embedded in your link (e.g., https://www.usethemis.app?ref=YOUR_CODE).

• Attribution window: 90 days. A user who clicks your link must subscribe within 90 days for the referral to be attributed to you.
• First-touch attribution: The first valid referral code a user encounters is their permanent attribution. If a user previously clicked another affiliate's link, your link will not override that attribution — even if they click yours later.
• Cookie-based tracking: Referral codes are stored in a first-party cookie with a 90-day expiry. Clearing cookies or using a different browser will break attribution.

5. Commission Confirmation

Each commission created after a billing event enters a 30-day pending period before it is confirmed and becomes eligible for payout.

A pending commission will be voided if, within the 30-day window, the referred user:

• Requests a refund
• Files a chargeback
• Cancels their subscription and the cancellation is honored before the next billing cycle

Once confirmed, commissions are not clawed back except in cases of fraud.

6. Payouts

• Payout cycle: Monthly, for commissions confirmed by the end of each calendar month
• Minimum threshold: $50 USD. If your confirmed balance is below $50 at the end of a cycle, it rolls over to the following month
• Payment methods: PayPal or bank transfer. Stripe Connect support is planned for a future release
• Processing time: Payouts are typically processed within 5 business days of the end of each month
• Currency: Payouts are made in USD. If your earnings were calculated in another currency, conversion is applied at the rate in effect at the time of payout

You are responsible for reporting affiliate income to the relevant tax authority in your jurisdiction. Themis does not withhold taxes.

7. Prohibited Activities

The following are strictly prohibited and will result in immediate suspension and forfeiture of pending commissions:

• Spam or unsolicited messaging — bulk emailing, mass DMs, or any form of unsolicited outreach
• Misleading claims — making false or exaggerated statements about Themis features, results, pricing, or capabilities
• Trademark bidding — running paid advertisements that bid on the keyword "Themis" or variations of it
• Self-referrals — using your own referral link to sign up for Themis, or creating accounts for the purpose of generating commissions
• Incentivized signups — paying, rewarding, or offering anything of value to individuals in exchange for signing up through your link
• Cookie stuffing — any technique that places your referral code on a user's browser without their genuine interaction
• Click fraud — artificially inflating click or referral counts by any means

8. Lifetime Pro Account

Approved affiliates receive a lifetime Pro tier Themis account (valued at $79/month) immediately upon approval. To retain this account, affiliates must generate at least 2 paying referrals within their first 2 months in the program. If this threshold is not met, the Pro account will be downgraded to the free tier. The account is for personal use only, may not be transferred or sold, and is revoked upon termination or suspension from the program.

9. Termination

By Themis: We may suspend or terminate your affiliate account at any time for violations of these terms, fraudulent activity, or at our discretion with 7 days notice. On termination for fraud, all pending commissions may be voided. Confirmed commissions will be paid out on the next regular payout cycle unless fraud is established.

By you: You may leave the program at any time by emailing toma@maytrix.ai. Confirmed commissions earned before your departure will be paid out on the next cycle. Pending commissions will be subject to the standard 30-day confirmation period.

10. Modifications

Themis reserves the right to modify commission rates, tier thresholds, payout minimums, or any other aspect of the program at any time.

Active affiliates will receive 30 days written notice before any changes take effect, except in cases of legal requirement or fraud prevention.

Your continued participation after the notice period constitutes acceptance of the updated terms.

11. Relationship

Affiliates are independent parties. Nothing in these terms creates an employment relationship, agency, partnership, or joint venture between you and Themis. You have no authority to bind Themis to any agreement or obligation.
